BILL PAY AGREEMENT
This is your bill pay agreement with RiverBank. You may use RiverBank Bill Pay or RiverBank Business Bill Pay to direct RiverBank to make payments from your designated Payment Account to the Payees you choose in accordance with this agreement. The terms and conditions of this Agreement are in addition to the Account agreements, disclosures and other documents in effect from time to time governing your Payment Account.
SERVICE DEFINITIONS
“Agreement” means these terms and conditions of the bill pay service.
“Business Day” is every Monday through Friday, excluding Federal Reserve holidays.
“Deliver By Date” is the date you want your Payee to receive your bill pay payment.
“Financial Institution” is RiverBank.
"Payee" is the person, business, or Financial Institution to which you wish a bill pay to be directed or is the person, business, or Financial Institution from which you receive electronic bills, as the case may be.
“Payment Account” is the deposit account from which bill pay payments will be debited.
“Payment Instruction” is the information provided by you to the Service for a bill pay payment to be made to the Payee (such as, but not limited to, Payee name, Payee account number, and Deliver By Date).
“Process Date” is the Business Day the payment will be processed in order to meet the designated Deliver By date. For electronic payments, the Process Date is typically two Business Days prior to the Deliver By Date and is the date your Payment Account will be debited. For check payments, the Process Date is based on location of the Payee and may be up to eight Business Days prior to the Deliver By Date. Check payments will be debited from your Payment Account when received by the Payee.
“Scheduled Payment” is a payment that has been scheduled through the Service but has not begun processing.
“Service” means the bill pay service offered by RiverBank.
"You" or "your" means each person who is authorized to use the service.
HOW TO SET UP PAYEES/PAYMENTS
Complete a bill pay enrollment form. If you want to add a new Payee, use “Set Up Accounts/Payees” on the Service or speak to a Customer Service representative. You may add a new fixed payment to a Payee, only if the Payee is on your authorized list of Payees, and by accessing the Service and entering the appropriate information. Most other additions, deletions, or changes can be made in writing or by using the Service. The Financial Institution reserves the right to refuse the designation of a Payee for any reason. Each Payee accepted by the Financial Institution will be assigned a Payee code. You may pay almost any Payee you wish. There are several restrictions: 1) The Payee must be located in the United States; 2) Payments may not be remitted to tax authorities or government and collection agencies; 3) Payments may not be remitted to security companies such as Ameritrade for stock purchases or trade taxing authorities and 4) Court directed payments are unauthorized (Alimony, child support, or other legal debts). Don't forget you can use this system to send payments to your son/daughter in college, pay your local orthodontist, credit cards, charitable donations, etc. A Payee can be anyone (company or individual) to whom you want to send money.
The Financial Institution is not responsible if a bill pay payment cannot be made due to incomplete, incorrect, or outdated information provided by you regarding a Payee or if you attempt to pay a Payee that is not on your authorized Payee list.
ACCESSING THE SERVICE
The Service is accessed using your Online Banking Login ID and password.
THE BILL PAY PROCESS
Payment Scheduling
The earliest possible Deliver By Date for each Payee (typically four (4) or fewer Business Days from the current date) will be designated within the Service when you are scheduling a payment. Therefore, the Service will not permit you to select a Deliver By Date less than the earliest possible Deliver By Date for the Payee. When scheduling payments, you must select a Deliver By Date that is no later than the actual due date reflected on your Payee statement unless the due date falls on a non-Business Day. If the actual due date falls on a non-Business Day, you must select a Deliver By Date that is at least one (1) Business Day before the actual due date. Deliver By Dates must be prior to any late date or grace period.
Single Payments
A single payment will be scheduled to be delivered on the Business Day that you designate as the payment’s Deliver By Date, provided the payment is submitted prior to the daily cut-off time for the Process Date that corresponds to the designated Deliver By Date. The daily Process Date cut-off time is currently 1:00 PM Pacific Time. A single payment submitted after the Process Date cut-off time for the designated Deliver By Date will be processed on the following Business Day. If you designate a non-Business Day as the payment’s Deliver By Date, the payment will generally be delivered on the first Business Day prior to the designated Deliver By Date.
Recurring Payments
When a recurring payment is processed, it is automatically rescheduled by the system. Based upon your selected frequency settings for the payment, a Deliver By Date is calculated for the next occurrence of the payment. If the calculated Deliver By Date is a non-Business Day, it is adjusted to the first Business Day prior to the calculated Deliver By Date.
Note: If your frequency settings for the recurring payment specify the 29th, 30th, or 31st as a particular day of the month for the Deliver By Date and that day does not exist in the month of the calculated Deliver By Date, then the last calendar day of that month is used as the calculated Deliver By Date.
For Single and Recurring Payments, YOU MUST ALLOW AT LEAST EIGHT (8) BUSINESS DAYS, PRIOR TO THE DUE DATE, for each bill pay payment to reach the Payee. (For east coast subscribers, allow 5 days and for mid west subscribers, allow 7 days.) Any bill pay payment can be changed or canceled, provided you access the Service prior to the cut-off time on the Business Day prior to the Business Day the bill pay payment is going to be initiated.
You agree to have available and collected funds on deposit in the Payment Account you designate in amounts sufficient to pay for all bill pay payments requested, as well as, any other payment obligations you have to the Financial Institution. The Financial Institution reserves the right, without liability, to reject or reverse a bill pay payment if you fail to comply with this requirement or any other terms of this agreement. If you do not have sufficient funds in the Payment Account and the Financial Institution has not exercised its right to reverse or reject a bill pay payment, you agree to pay for such payment obligations on demand. You further agree the Financial Institution, at its option, may charge any of your accounts with the Financial Institution to cover such payment obligations.
The Financial Institution reserves the right to change the cut-off time. You will receive notice if it changes.
The Service Guarantee
Due to circumstances beyond the control of the Service, particularly delays in handling and posting payments by Billers or financial institutions, some transactions may take longer to be credited to your account. The Service will bear responsibility for any late payment related charges up to $50.00 should a payment post after its Deliver by Date as long as the payment was scheduled in accordance with the guidelines described under “Payment Scheduling” in this Agreement.
Payment Authorization and Payment Remittance
By providing the Service with names and account information of Payees to whom you wish to direct payments, you authorize the Service to follow the Payment Instructions that it receives through the payment system. In order to process payments more efficiently and effectively, the Service may edit or alter payment data or data formats in accordance with Payee directives.
When the Service receives a Payment Instruction, you authorize the Service to debit your Payment Account and remit funds on your behalf so the funds arrive as close as reasonably possible to the Deliver by Date designated by you. You also authorize the Service to credit your Payment Account for payments returned to the Service by the United States Postal Office or Payee, or payments remitted to you on behalf of another authorized user of the Service.
The Service will use its best efforts to make all your payments properly. However, the Service shall incur no liability and any Service Guarantee shall be void if the Service is unable to complete any payments initiated by you because of the existence of any one or more of the following circumstances:
1. If through no fault of the Service, your Payment Account does not contain sufficient funds to complete the transaction or the transaction would exceed the credit limit of your overdraft account;
2. The payment processing center is not working properly and you know or have been advised by the Service about the malfunction before you execute the transaction;
3. You have not provided the Service with the correct Payment Account information, or the correct name, address, phone number, or account information for the Payee; and/or,
4. Circumstances beyond control of the Service (such as, but not limited to, fire, flood, or interference from an outside force) prevent the proper execution of the transaction and the Service has taken reasonable precautions to avoid those circumstances.
Provided none of the foregoing exceptions are applicable, if the Service causes an incorrect amount of funds to be removed from your Payment Account or causes funds from your Payment Account to be directed to a Payee which does not comply with your Payment Instructions, the Service shall be responsible for returning the improperly transferred funds to your Payment Account, and for directing to the proper Payee any previously misdirected transactions, and, if applicable, for any late payment related charges up to $50.00.
Payment Methods
The Service reserves the right to select the method in which to remit funds on your behalf to your Payee. These payment methods may include, but may not be limited to, an electronic payment or a check payment (funds remitted to the Payee are deducted from your Payment Account when the check is presented to the Financial Institution for payment).
Payment Cancellation Requests
You may cancel or edit any Scheduled Payment (including recurring payments) by following the directions within the Service. There is no charge for canceling or editing a Scheduled Payment. Once the Service has begun processing a payment it cannot be cancelled or edited, therefore a stop payment request must be submitted (see below).
Stop Payment Requests
The Service’s ability to process a stop payment request will depend on the payment method and whether or not a payment has cleared. The Service may also not have a reasonable opportunity to act on any stop payment request after a payment has been processed. If you desire to stop any payment that has already been processed, you must contact Customer Service. Although the Service will make every effort to accommodate your request, the Service will have no liability for failing to do so. The Service may also require you to present your request in writing within fourteen (14) days. The charge for each stop payment request will be the current charge for such service as set out in the applicable fee schedule.
Electronic Bill Presentment (e-Bills)
This feature is for the presentment of electronic bills only and it is your sole responsibility to contact your Payees directly if you do not receive your statements. In addition, if you elect to activate one of the Service’s electronic bill options, you also agree to the following:
1. Information provided to the Payee – The Service is unable to update or change your personal information such as, but not limited to, name, address, phone numbers, and email addresses, with the electronic bill Payee. Any changes will need to be made by contacting the Payee directly. Additionally, it is your responsibility to maintain all usernames and passwords for all electronic Payee sites. You also agree not to use someone else’s information to gain unauthorized access to another person’s bill. The Service may, at the request of the Payee, provide to the Payee your email address, service address, or other data specifically requested by the Payee at the time of activating the electronic bill for that Payee, for purposes of the Payee informing you about Service and/or bill information.
2. Activation – Upon activation of the electronic bill feature, the Service may notify the Payee of your request to receive electronic billing information. The presentment of your first electronic bill may vary from Payee to Payee and may take up to sixty (60) days, depending on the billing cycle of each Payee. Additionally, the ability to receive a paper copy of your statement(s) is at the sole discretion of the Payee. While your electronic bill feature is being activated, it is your responsibility to keep your accounts current. Each electronic bill Payee reserves the right to accept or deny your request to receive electronic bills.
3. Authorization to obtain bill data – Your activation of the electronic bill feature for a Payee shall be deemed by us to be your authorization for us to obtain bill data from the Payee on your behalf. For some Payees, you will be asked to provide to us with your user name and password for that Payee. By providing us with such information, you authorize us to use the information to obtain your bill data.
4. Notification – The Service will use its best efforts to present all of your electronic bills promptly. In addition to notification within the Service, the Service may send an email notification to the email address listed for your account. It is your sole responsibility to ensure that this information is accurate. In the event you do not receive notification, it is your responsibility to periodically logon to the Service and check on the delivery of new electronic bills. The time for notification may vary from Payee to Payee. You are responsible for ensuring timely payment of all bills.
5. Cancellation of electronic bill notification – The electronic bill Payee reserves the right to cancel the presentment of electronic bills at any time. You may cancel electronic bill presentment at any time. The timeframe for cancellation of your electronic bill presentment may vary from Payee to Payee. It may take up to sixty (60) days, depending on the billing cycle fo each Payee. The Service will notify your electronic bill Payee(s) as to the change in status of your account and it is your sole responsibility to make arrangements for an alternative form of bill delivery. The Service will not be responsible for presenting any electronic bills that are already in process at the time of cancellation.
6. Non-Delivery of electronic bill(s) – You agree to hold the Service harmless should the Payee fail to deliver your statement(s). You are responsible for ensuring timely payment of all bills. Copies of previously delivered bills must be requested from the Payee directly.
7. Accuracy and dispute of electronic bill – The Service is not responsible for the accuracy of your electronic bill(s). The Service is only responsible for presenting the information we receive from the Payee. Any discrepancies or disputes regarding the accuracy of your electronic bill summary or detail must be addressed with the Payee directly.
This Agreement does not alter your liability or obligations that currently exist between you and your Payees.
LIABILITY
You are solely responsible for controlling the safekeeping of and access to, your Online Banking Login ID and Password. You are liable for all transactions you make or that you authorize another person to make even if that person exceeds his or her authority. If you want to terminate another person's authority, you must notify the Financial Institution and arrange to change your Online Banking Password. You will be responsible for any bill pay request you make that contains an error or is a duplicate of another bill pay payment. The Financial Institution is not responsible for a bill pay payment that is not made if you did not properly follow the instructions for making a bill pay payment. The Financial Institution is not liable for any failure to make a bill pay payment if you fail to promptly notify the Financial Institution after you learn that you have not received credit from a Payee for a bill pay payment. The Financial Institution is not responsible for your acts or omissions or those of any other person, including, without limitation, any transmission or communications facility, and no such party shall be deemed to be the Financial Institution's agent. In any event, the Financial Institution will not be liable for any special, consequential, incidental, or punitive losses, damages, or expenses in connection with this Agreement or the Service, even if the Financial Institution has knowledge of the possibility of them. The Financial Institution is not liable for any act, failure to act or delay in acting if it is caused, in whole or in part, by any cause beyond the Financial Institution's reasonable control.
ADDRESS OR BANKING CHANGES
It is your sole responsibility to ensure that the contact information in your user profile is current and accurate. This includes, but is not limited to, name, address, phone numbers, and email addresses. Changes can be made either within the Service or by contacting Customer Service. Any changes in your Payment Account should also be made in accordance with the procedures outlined within the Service’s Help files. All changes made are effective immediately for scheduled and future payments paid from the updated Payment Account information. The Service is not responsible for any payment processing errors or fees incurred if you do not provide accurate Payment Account or contact information.
AMENDMENT AND TERMINATION
The Financial Institution has the right to change this Agreement at any time. In such event, the Financial Institution shall provide notice to you. Any use of the Service after the Service or the Financial Institution provides you a notice of change will constitute your agreement to such change(s).
The Financial Institution has the right to terminate this Agreement at any time. You may terminate this Agreement by written notice to the Financial Institution. The Financial Institution is not responsible for any fixed payment made before the Financial Institution has a reasonable opportunity to act on your termination notice. You remain obligated for any payments made by the Financial Institution on your behalf.
In addition, as part of the Service, you agree to receive all legally required notifications regarding the Service via electronic means.
ELECTRONIC FUNDS TRANSFER DISCLOSURE
These charges will only be assessed if you request one or more of the services listed here. There will be NO Charge for any item if needed to correct a Financial Institution error.
Written Correspondence to Payee: $10.00
Per proof of Payment not necessitated by a dispute: $10.00
Payments returned due to customer error: $5.00
The Financial Institution reserves the right to charge you for research time involving payments no longer available in your screen history. You will be informed of any such charges before they are incurred.
Bill payments may be processed by Electronic Fund Transfers (EFT). Please see the Electronic Funds Transfer Disclosure Statement included, or, received when you opened your Payment Account, which discloses important information concerning your rights and obligations.
ASSIGNMENT
You may not assign this Agreement or any of the rights or duties hereunder without Financial Institution’s prior written consent. Financial Institution may assign this Agreement to an affiliate or any successor or assign.
HEADINGS
Headings used in this Agreement are for convenience only and shall not be deemed a part of this Agreement.
GOVERNING LAW
This Agreement shall be governed by and construed in accordance with the law of the state in which the Financial Institution is located.
VENUE
You agree that any lawsuits, claims or other proceedings relating to the Payment Account or the Service shall be venued in the state or federal courts in the state whose laws govern your Payment Account, regardless of conflict of law principles.
SEVERABILITY
In the event that any provision of this Agreement shall be determined to be invalid, illegal, or unenforceable to any extent, the remainder of this Agreement shall not be impaired or otherwise affected and shall continue to be valid and enforceable to the fullest extent permitted by law.

TERMS AND CONDITIONS – MOBILE BILL PAY SERVICES
Introduction
This Terms and Conditions Agreement and Electronic Funds Transfer Act Disclosure (the "Agreement") governs your use of Mobile Bill pay Service. By subscribing to or using the Mobile Bill pay Service, you agree that the terms of this Agreement will remain in effect until revoked by you or us and we have a reasonable time to act on it. Previous Terms and Conditions relating to other banking and payment services with this Financial Institution remain in effect and are incorporated into this Agreement by reference.

You and anyone else you authorize to access or use the Mobile Bill pay Service must abide by the Financial Institution's rules, regulations, policies and procedures, including any amendments made from time to time of which, if required, you will be informed thirty (30) days before they take effect, unless the law requires or permits that they become effective sooner.

Mobile Bill pay Service
The Mobile Bill pay Service allows you to use a mobile device such as a cell phone, PDA, or any other wireless device to direct payments to Payees that you wish to pay, subject to the terms and conditions of your online banking agreement with RiverBank.
Charges
You may be charged a reoccurring monthly usage fee to use the Mobile Bill pay Service. Please contact your customer service representative or branch with any questions about fees. Non-payment of any fees incurred by you may result in the cancellation of this and other banking services. Your wireless carrier may charge you a fee for accessing the Mobile Bill pay Service. Please contact your carrier to get specific details concerning your wireless data plan and fees.
Your Responsibilities
You agree that payments made using the Mobile Bill pay Service are the same as those made using paper checks, drafts, transfers, or online payments and are bound by the same rules, regulations, state, and federal laws.
Payees must be set up using your online banking account before you are able to make a payment using the Mobile Bill pay Service.
If you permit other persons to use your Mobile Bill pay Service User ID and Password to access this service, you are responsible for any transaction they authorize from your Payment Account.
If you believe that your Mobile Bill pay Service User ID or Password is lost, stolen, or known to someone who is not an Authorized User, report it immediately to this Financial Institution. Your liability is determined by this Financial Institution’s policies, federal, and state law.
ACH Disclosure
If at any time you initiate a rush payment, you are also agreeing to accept the fee associated with this service. The amount of that fee will be disclosed to you at that time. This fee will be separate from the expedited transaction and will be charged directly to your current bill pay account.

However, the Service shall incur no liability and any Service Guarantee shall be void if the Service is unable to complete any payments initiated by you because of the existence of any one or more of the following circumstances:
1. If through no fault of the Service, your Payment Account does not contain sufficient funds to complete the transaction or the transaction would exceed the credit limit of your overdraft account;
2. The payment processing center is not working properly and you know or have been advised by the Service about the malfunction before you execute the transaction;
3. You have not provided the Service with the correct Payment Account information, or the correct name, address, phone number, or account information for the Payee; and/or,
4. Circumstances beyond control of the Service (such as, but not limited to, fire, flood, or interference from an outside force) prevent the proper execution of the transaction and the Service has taken reasonable precautions to avoid those circumstances.
Provided none of the foregoing exceptions are applicable, if the Service causes an incorrect amount of funds to be removed from your Payment Account or causes funds from your Payment Account to be directed to a Payee which does not comply with your Payment Instructions, the Service shall be responsible for returning the improperly transferred funds to your Payment Account, and for directing to the proper Payee any previously misdirected transactions, and, if applicable, for any late payment related charges up to $50.00.
Payment Methods
The Service reserves the right to select the method in which to remit funds on your behalf to your Payee. These payment methods may include, but may not be limited to, an electronic payment or a check payment (funds remitted to the Payee are deducted from your Payment Account when the check is presented to the Financial Institution for payment).
Payment Cancellation Requests
You may cancel or edit any Scheduled Payment (including recurring payments) by following the directions within the Service. There is no charge for canceling or editing a Scheduled Payment. Once the Service has begun processing a payment it cannot be cancelled or edited, therefore a stop payment request must be submitted (see below).
Stop Payment Requests
The Service’s ability to process a stop payment request will depend on the payment method and whether or not a payment has cleared. The Service may also not have a reasonable opportunity to act on any stop payment request after a payment has been processed. If you desire to stop any payment that has already been processed, you must contact Customer Service. Although the Service will make every effort to accommodate your request, the Service will have no liability for failing to do so. The Service may also require you to present your request in writing within fourteen (14) days. The charge for each stop payment request will be the current charge for such service as set out in the applicable fee schedule.
Electronic Bill Presentment (e-Bills)
This feature is for the presentment of electronic bills only and it is your sole responsibility to contact your Payees directly if you do not receive your statements. In addition, if you elect to activate one of the Service’s electronic bill options, you also agree to the following:
1. Information provided to the Payee – The Service is unable to update or change your personal information such as, but not limited to, name, address, phone numbers, and email addresses, with the electronic bill Payee. Any changes will need to be made by contacting the Payee directly. Additionally, it is your responsibility to maintain all usernames and passwords for all electronic Payee sites. You also agree not to use someone else’s information to gain unauthorized access to another person’s bill. The Service may, at the request of the Payee, provide to the Payee your email address, service address, or other data specifically requested by the Payee at the time of activating the electronic bill for that Payee, for purposes of the Payee informing you about Service and/or bill information.
2. Activation – Upon activation of the electronic bill feature, the Service may notify the Payee of your request to receive electronic billing information. The presentment of your first electronic bill may vary from Payee to Payee and may take up to sixty (60) days, depending on the billing cycle of each Payee. Additionally, the ability to receive a paper copy of your statement(s) is at the sole discretion of the Payee. While your electronic bill feature is being activated, it is your responsibility to keep your accounts current. Each electronic bill Payee reserves the right to accept or deny your request to receive electronic bills.
3. Authorization to obtain bill data – Your activation of the electronic bill feature for a Payee shall be deemed by us to be your authorization for us to obtain bill data from the Payee on your behalf. For some Payees, you will be asked to provide to us with your user name and password for that Payee. By providing us with such information, you authorize us to use the information to obtain your bill data.
4. Notification – The Service will use its best efforts to present all of your electronic bills promptly. In addition to notification within the Service, the Service may send an email notification to the email address listed for your account. It is your sole responsibility to ensure that this information is accurate. In the event you do not receive notification, it is your responsibility to periodically logon to the Service and check on the delivery of new electronic bills. The time for notification may vary from Payee to Payee. You are responsible for ensuring timely payment of all bills.
5. Cancellation of electronic bill notification – The electronic bill Payee reserves the right to cancel the presentment of electronic bills at any time. You may cancel electronic bill presentment at any time. The timeframe for cancellation of your electronic bill presentment may vary from Payee to Payee. It may take up to sixty (60) days, depending on the billing cycle fo each Payee. The Service will notify your electronic bill Payee(s) as to the change in status of your account and it is your sole responsibility to make arrangements for an alternative form of bill delivery. The Service will not be responsible for presenting any electronic bills that are already in process at the time of cancellation.
6. Non-Delivery of electronic bill(s) – You agree to hold the Service harmless should the Payee fail to deliver your statement(s). You are responsible for ensuring timely payment of all bills. Copies of previously delivered bills must be requested from the Payee directly.
7. Accuracy and dispute of electronic bill – The Service is not responsible for the accuracy of your electronic bill(s). The Service is only responsible for presenting the information we receive from the Payee. Any discrepancies or disputes regarding the accuracy of your electronic bill summary or detail must be addressed with the Payee directly.
This Agreement does not alter your liability or obligations that currently exist between you and your Payees.
LIABILITY
You are solely responsible for controlling the safekeeping of and access to, your Online Banking Login ID and Password. You are liable for all transactions you make or that you authorize another person to make even if that person exceeds his or her authority. If you want to terminate another person's authority, you must notify the Financial Institution and arrange to change your Online Banking Password. You will be responsible for any bill pay request you make that contains an error or is a duplicate of another bill pay payment. The Financial Institution is not responsible for a bill pay payment that is not made if you did not properly follow the instructions for making a bill pay payment. The Financial Institution is not liable for any failure to make a bill pay payment if you fail to promptly notify the Financial Institution after you learn that you have not received credit from a Payee for a bill pay payment. The Financial Institution is not responsible for your acts or omissions or those of any other person, including, without limitation, any transmission or communications facility, and no such party shall be deemed to be the Financial Institution's agent. In any event, the Financial Institution will not be liable for any special, consequential, incidental, or punitive losses, damages, or expenses in connection with this Agreement or the Service, even if the Financial Institution has knowledge of the possibility of them. The Financial Institution is not liable for any act, failure to act or delay in acting if it is caused, in whole or in part, by any cause beyond the Financial Institution's reasonable control.
ADDRESS OR BANKING CHANGES
It is your sole responsibility to ensure that the contact information in your user profile is current and accurate. This includes, but is not limited to, name, address, phone numbers, and email addresses. Changes can be made either within the Service or by contacting Customer Service. Any changes in your Payment Account should also be made in accordance with the procedures outlined within the Service’s Help files. All changes made are effective immediately for scheduled and future payments paid from the updated Payment Account information. The Service is not responsible for any payment processing errors or fees incurred if you do not provide accurate Payment Account or contact information.
AMENDMENT AND TERMINATION
The Financial Institution has the right to change this Agreement at any time. In such event, the Financial Institution shall provide notice to you. Any use of the Service after the Service or the Financial Institution provides you a notice of change will constitute your agreement to such change(s).
The Financial Institution has the right to terminate this Agreement at any time. You may terminate this Agreement by written notice to the Financial Institution. The Financial Institution is not responsible for any fixed payment made before the Financial Institution has a reasonable opportunity to act on your termination notice. You remain obligated for any payments made by the Financial Institution on your behalf.
In addition, as part of the Service, you agree to receive all legally required notifications regarding the Service via electronic means.
ELECTRONIC FUNDS TRANSFER DISCLOSURE
These charges will only be assessed if you request one or more of the services listed here. There will be NO Charge for any item if needed to correct a Financial Institution error.
Written Correspondence to Payee: $10.00
Per proof of Payment not necessitated by a dispute: $10.00
Payments returned due to customer error: $5.00
The Financial Institution reserves the right to charge you for research time involving payments no longer available in your screen history. You will be informed of any such charges before they are incurred.
Bill payments may be processed by Electronic Fund Transfers (EFT). Please see the Electronic Funds Transfer Disclosure Statement included, or, received when you opened your Payment Account, which discloses important information concerning your rights and obligations.
ASSIGNMENT
You may not assign this Agreement or any of the rights or duties hereunder without Financial Institution’s prior written consent. Financial Institution may assign this Agreement to an affiliate or any successor or assign.
HEADINGS
Headings used in this Agreement are for convenience only and shall not be deemed a part of this Agreement.
GOVERNING LAW
This Agreement shall be governed by and construed in accordance with the law of the state in which the Financial Institution is located.
VENUE
You agree that any lawsuits, claims or other proceedings relating to the Payment Account or the Service shall be venued in the state or federal courts in the state whose laws govern your Payment Account, regardless of conflict of law principles.
SEVERABILITY
In the event that any provision of this Agreement shall be determined to be invalid, illegal, or unenforceable to any extent, the remainder of this Agreement shall not be impaired or otherwise affected and shall continue to be valid and enforceable to the fullest extent permitted by law.

Introduction
This Terms and Conditions Agreement and Electronic Funds Transfer Act Disclosure (the "Agreement") governs your use of Mobile Bill pay Service. By subscribing to or using the Mobile Bill pay Service, you agree that the terms of this Agreement will remain in effect until revoked by you or us and we have a reasonable time to act on it. Previous Terms and Conditions relating to other banking and payment services with this Financial Institution remain in effect and are incorporated into this Agreement by reference.

You and anyone else you authorize to access or use the Mobile Bill pay Service must abide by the Financial Institution's rules, regulations, policies and procedures, including any amendments made from time to time of which, if required, you will be informed thirty (30) days before they take effect, unless the law requires or permits that they become effective sooner.

Mobile Bill pay Service
The Mobile Bill pay Service allows you to use a mobile device such as a cell phone, PDA, or any other wireless device to direct payments to Payees that you wish to pay, subject to the terms and conditions of your online banking agreement with RiverBank.
Charges
You may be charged a reoccurring monthly usage fee to use the Mobile Bill pay Service. Please contact your customer service representative or branch with any questions about fees. Non-payment of any fees incurred by you may result in the cancellation of this and other banking services. Your wireless carrier may charge you a fee for accessing the Mobile Bill pay Service. Please contact your carrier to get specific details concerning your wireless data plan and fees.
Your Responsibilities
You agree that payments made using the Mobile Bill pay Service are the same as those made using paper checks, drafts, transfers, or online payments and are bound by the same rules, regulations, state, and federal laws.
Payees must be set up using your online banking account before you are able to make a payment using the Mobile Bill pay Service.
If you permit other persons to use your Mobile Bill pay Service User ID and Password to access this service, you are responsible for any transaction they authorize from your Payment Account.
If you believe that your Mobile Bill pay Service User ID or Password is lost, stolen, or known to someone who is not an Authorized User, report it immediately to this Financial Institution. Your liability is determined by this Financial Institution’s policies, federal, and state law.
ACH Disclosure
If at any time you initiate a rush payment, you are also agreeing to accept the fee associated with this service. The amount of that fee will be disclosed to you at that time. This fee will be separate from the expedited transaction and will be charged directly to your current bill pay account.
